Terms of Service

Terms & Conditions

Last updated: September 15, 2026

These Terms & Conditions govern the use of graphich.agency and the services provided by Graphich. By using this website, requesting services, accepting a proposal, paying an invoice, or otherwise engaging Graphich, you agree to these Terms unless separate written terms have been agreed between Graphich and you.

1. About Graphich

Graphich provides website design, website development, redesign, website repair, UX and conversion audits, website maintenance, white-label development, technical support, and related digital services.

Specific services, deliverables, timelines, and prices may be described on our website, in proposals, statements of work, invoices, or other written agreements.

Where a project-specific agreement conflicts with these website Terms, the project-specific agreement will take priority.

2. Website information

We aim to keep information on graphich.agency accurate and up to date.

However, website content, service descriptions, estimated timelines, pricing, availability, and examples are provided for general information and may change.

Nothing on this website constitutes a guaranteed quotation unless confirmed by Graphich in writing.

3. Proposals and project scope

Before paid project work begins, Graphich may provide a proposal, quotation, scope of work, invoice, or other written confirmation describing the agreed work.

The agreed project scope may include:

  • deliverables;
  • pages or features;
  • technical requirements;
  • revision allowance;
  • timeline;
  • client responsibilities; and
  • payment terms.

Work outside the agreed scope may require additional time and fees.

Graphich will normally seek approval before carrying out material out-of-scope work.

4. Client responsibilities

Clients are responsible for providing information, access, approvals, content, credentials, feedback, and other materials reasonably required for Graphich to complete the work.

Delays in receiving required information or approvals may affect agreed timelines.

The client confirms that it has the right to provide Graphich with any content, trademarks, images, data, software, credentials, or other materials supplied for use in the project.

5. Timelines

Any delivery dates or timelines are estimates unless expressly agreed otherwise in writing.

Graphich will make reasonable efforts to meet agreed timelines, but delivery may be affected by:

  • delayed client feedback or approvals;
  • changes in project scope;
  • third-party services;
  • technical dependencies;
  • hosting or platform issues;
  • emergencies; or
  • circumstances outside our reasonable control.

Where delays arise, Graphich will communicate revised expectations where reasonably possible.

6. Payments

Payment terms will be stated in the relevant proposal, invoice, subscription, or written agreement.

Unless otherwise agreed:

  • invoices must be paid by their stated due date;
  • project work may be paused where invoices become overdue;
  • additional or out-of-scope work may be invoiced separately; and
  • applicable taxes, transaction fees, or third-party costs may be charged where relevant.

Graphich may require an upfront deposit or milestone payment before beginning or continuing project work.

7. Cancellations

For one-time projects, cancellation terms may depend on the stage of work already completed.

If a client cancels after work has begun, Graphich may charge for:

  • work already completed;
  • committed project time;
  • purchased third-party services;
  • licences or expenses incurred; and
  • other non-recoverable costs.

Ongoing Website Ownership or recurring service plans may be cancelled before the next billing cycle unless a separate agreement specifies otherwise.

Cancellation does not normally entitle the client to reimbursement for work or services already delivered.

8. Refunds

Because Graphich primarily provides professional services and customised digital work, payments for work already performed are generally non-refundable.

A refund may be considered where:

  • Graphich has received payment but has not started the agreed work;
  • Graphich is unable to deliver a paid service and no reasonable alternative is agreed; or
  • a refund is required under applicable law.

Deposits, completed milestones, third-party fees, licences, subscriptions, purchased assets, and work already performed may be non-refundable.

Any project-specific refund arrangements stated in a written proposal or agreement will take priority over this general policy.

9. Revisions and scope changes

Included revisions will be defined in the relevant project agreement where applicable.

Requests that materially change the approved design, functionality, scope, content, platform, or technical requirements may be treated as additional work.

We will normally communicate significant scope changes and related charges before proceeding.

10. Intellectual property

Unless otherwise agreed in writing:

Client-owned materials remain the property of the client.

Graphich’s pre-existing tools, methods, templates, processes, code libraries, frameworks, know-how, and reusable components remain the property of Graphich or their respective licensors.

After full payment, the client receives rights to the final project deliverables created specifically for that client, subject to any third-party licences and agreed restrictions.

Third-party software, plugins, fonts, stock assets, APIs, themes, frameworks, and similar components remain subject to their own licence terms.

11. White-label services and confidentiality

Graphich may provide services to agencies and other partners on a white-label basis.

Where confidentiality or white-label terms are agreed:

  • Graphich will reasonably protect the partner’s client relationship;
  • Graphich will not intentionally market directly to the partner’s client using information obtained solely through the engagement;
  • confidential projects will not be publicly showcased without permission; and
  • additional confidentiality obligations may be governed by an NDA or separate agreement.

A signed NDA or project agreement will take priority where it contains more specific confidentiality requirements.

12. Portfolio and publicity

For direct-client projects, Graphich may request permission to reference completed work in its portfolio, website, proposals, or marketing materials.

Graphich will not publicly showcase confidential or white-label work where doing so would conflict with an agreed confidentiality obligation.

Clients may ask us not to publicly reference their project.

13. Third-party services

Projects may depend on third-party services including:

  • hosting providers;
  • domain registrars;
  • CMS platforms;
  • plugins;
  • APIs;
  • payment gateways;
  • analytics tools;
  • email systems;
  • SaaS platforms; and
  • other external services.

Graphich does not control third-party services and cannot guarantee their uninterrupted availability, security, pricing, compatibility, or future operation.

Changes or failures by third-party providers may require additional work.

14. Website security and maintenance

Graphich follows reasonable technical practices when providing website work and maintenance.

However, no website, hosting system, plugin, software platform, or security measure can guarantee complete protection against hacking, malware, data loss, outages, or vulnerabilities.

Unless expressly included in an ongoing service plan, the client remains responsible for maintaining appropriate hosting, backups, credentials, licences, and updates after project handover.

15. Free Website Check and free resources

Graphich may provide free website checks, guides, checklists, articles, templates, recommendations, and other educational information.

These are provided for general informational purposes.

A Free Website Check is a limited review and is not a comprehensive:

  • security audit;
  • penetration test;
  • SEO guarantee;
  • legal review;
  • accessibility certification; or
  • technical warranty.

Recommendations are based on the information reasonably available at the time of review.

16. Results and performance

Graphich aims to improve website quality, usability, performance, reliability, and conversion opportunities.

However, we do not guarantee specific commercial outcomes such as:

  • search-engine rankings;
  • traffic levels;
  • revenue;
  • leads;
  • conversion rates;
  • sales; or
  • advertising results.

Results depend on numerous factors outside Graphich’s control.

17. Warranties

Graphich will provide services with reasonable care and professional skill.

Except where expressly stated in writing or required by law, services and website content are provided without additional warranties regarding uninterrupted operation, specific results, or fitness for every particular purpose.

18. Limitation of liability

To the maximum extent permitted by applicable law, Graphich will not be liable for indirect, incidental, consequential, special, or loss-of-profit damages arising from the website or services.

Where liability cannot legally be excluded, Graphich’s aggregate liability relating to a particular service or project will, to the maximum extent permitted by law, be limited to the amount paid by the client to Graphich for the relevant service giving rise to the claim.

Nothing in these Terms excludes liability that cannot lawfully be excluded.

19. Indemnity

You agree not to hold Graphich responsible for claims arising from materials, instructions, content, software, or intellectual property that you provide where you do not have the necessary rights or permissions to use them.

20. Suspension or termination

Graphich may pause or terminate services where reasonably necessary because of:

  • overdue payments;
  • abusive or unlawful conduct;
  • material breach of agreed terms;
  • security risks;
  • failure to provide required cooperation; or
  • requests involving unlawful activity.

Where reasonably possible, we will attempt to provide notice before termination.

21. Acceptable use

You must not use this website or Graphich’s services to:

  • violate applicable law;
  • infringe intellectual-property rights;
  • distribute malware;
  • attempt unauthorised access;
  • interfere with website security;
  • submit fraudulent information; or
  • abuse, attack, or disrupt our infrastructure.

22. Privacy

Personal information is handled in accordance with our Privacy Policy and Cookie Policy.

23. Governing law

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms, the website, or Graphich’s services will be subject to the exclusive jurisdiction of the courts having jurisdiction over Graphich’s registered office in India, unless applicable law requires otherwise.

Nothing in these Terms limits any mandatory rights or protections that cannot legally be excluded under applicable law.

24. Changes to these Terms

We may update these Terms periodically.

The latest version will be published on this page with the updated date.

Changes will not retrospectively alter project-specific agreements already signed unless both parties agree otherwise or applicable law requires it.
